GENERAL TERMS AND CONDITIONS OF SALES

1. Scope of Application These GTC govern the consulting, configuration, and IT development services on the Odoo platform provided by Moutarde Digital SA (hereinafter "the Provider") to its clients.
2. Prepaid Hours and Validity Services are sold in the form of prepaid hour packs.
   Validity: Each pack is valid for 12 months from the date of purchase. Unused hours after this period are forfeited and non-refundable.
   Execution: Work begins only upon full receipt of payment.
3. Intellectual Property
   Provider Ownership: The Provider retains full intellectual property rights to all developments, source codes, scripts, and methodologies created during the services.
   Client User License: The Provider grants the Client a non-exclusive, worldwide, irrevocable, and perpetual license to use the paid deliverables. This license allows the Client to use and modify the code for their own internal needs only.
   Restrictions: Reselling, sub-licensing, or distributing the code to third parties is strictly prohibited without prior written consent.
4. Confidentiality Both parties agree to keep all technical or commercial information exchanged confidential, including access to the Client's databases and infrastructure.
5. Liability The Provider agrees to perform its services with due care (obligation of means). The Provider's liability is limited to the amount of the hour pack during which the damage occurred. No liability is assumed for loss of business or data.
6. Governing Law and Jurisdiction Swiss substantive law shall apply exclusively. The exclusive place of jurisdiction is Geneva, Switzerland.
